
Title Perfection Is Not Control: Vehicle Paper After Tricolor
DMV title, UCC filing, and § 9-105 control answer different questions on auto and fleet deals. VIN drift and unmarked PDFs are how warehouse books lose the original—Tricolor and the One William Street suits are the direct custody lesson.
Every funded auto contract runs on at least two legal tracks. State certificate-of-title rules—California’s Vehicle Code is the usual example—tell you how a lien appears on the metal. Article 9 tells you how the payment obligation itself is perfected. If that obligation is electronic chattel paper, it also asks who controls the unique authoritative copy under UCC § 9-105. A title clerk’s stamp does not merge those tracks.

VIN Drift, Title Lag, and the Package That Cannot Be Reconciled
Your auto-book trouble is usually identity and timing, not a missing statute. Title applications trail funding. VINs disagree among the LOS, the insurer, and the warehouse schedule. Warehouse lenders take package uploads that cannot be matched to one vaulted original. A chattel check that stops at “title applied” never answers who holds the contract.

Tricolor Bankruptcy, Then the One William Street Suits
On September 10, 2025, Tricolor Holdings, LLC filed chapter 11 in the U.S. Bankruptcy Court for the Northern District of Texas. The case is No. 25-33487, before Judge Michelle Vonsenden Larson. The investor actions came later. On February 10, 2026, One William Street Capital Master Fund Ltd. sued Wilmington Trust, N.A. in the Southern District of New York (1:26-cv-01123) before Judge Jeannette A. Vargas. On February 26, 2026, the same plaintiff sued JPMorgan Chase Bank, N.A. (S.D.N.Y. 1:26-cv-01622) before Judge Jed S. Rakoff. The complaints allege that auto-loan collateral was pledged more than once after the collapse. Those are allegations, not findings against any named party.
For vehicle finance the custody lesson is direct. If two warehouse or ABS counterparties each treat the same retail contracts as theirs, the audit has to show which vault held the unique authoritative copy on each transfer date. Without that class of chattel infra, American auto books stay compromised, disconnected, and uncertain: two inboxes, two “originals,” no dated chain of custody a buyer can diligence.
What Default UCC9-Compliant Control Looks Like on Auto Deals
UCC § 9-105’s safe harbor asks whether a system reliably establishes a unique, identifiable authoritative copy, identifies the secured party or its custodian as assignee, and keeps revisions and copies from being confused with that original. Florida Statutes § 679.1051 and Virginia Code § 8.9A-105 enact the same framework. Filing under § 9-310 and perfection timing under § 9-308 are a different inquiry from control of the paper.
ANSI X9.110 / TOLEC exists so custody can move vault-to-vault without regenerating the file from email. - Does the warehouse schedule reconcile VIN and title status to vault custody IDs, not only to loan numbers?
- Can custody move vault-to-vault with an exportable audit trail that would survive a § 9-330 contest?
