
Tools Fund Payroll: Serials, Filing, and Control of the Note
Power tools and shop equipment often fund payroll, so serialization reduces loss severity and collections tone has to respect livelihood. A UCC-1 against the goods and § 9-105 control of the electronic contract are different jobs.
Trade tools move from truck to job site daily. That mobility is why serialization and location tracking matter for loss severity—and why borrower communications should respect that tools fund payroll. A carpenter’s kit of value should be controllable on collateral rails: serials on the original, a chain of custody for the note, and a filing story that does not pretend to be control.
A security interest in the tools as goods is perfected under Article 9’s filing rules in most cases. Any electronic chattel paper evidencing the credit sale needs control under § 9-105. Confirm whether the obligation is chattel paper, an instrument, or a payment intangible under § 9-102 before you pick a path.
A Financing Statement in SOS Is Not a Vault ID
UCC § 9-310 sets baseline filing requirements. § 9-308 addresses when perfection occurs. Control of ECP is an alternate path for the paper itself. File a UCC-1 and call it done and you may perfect in goods while leaving the electronic contract uncontrolled—and therefore hard to transfer cleanly. That is how American tool books stay disconnected: a financing statement in SOS, a PDF in a toolbox folder, no vault ID.

Empathy on cadence is not optional when recovery means taking a carpenter’s livelihood. Default UCC9-compliant control, then an intravault transfer of chattel over a real time transfer network (RTTN), is how the paper moves without printing “for the job box.”
