Inspect the Lot Against Vault State, Not the Spreadsheet

Floorplan is unit-level by design, and curtailments that live in spreadsheets disconnected from § 9-105 custody cannot refute a second pledge. The Tricolor complaint’s double-pledging narrative is the caution: title notation still matters, and it does not replace vault control of the electronic paper.

Your floorplan finance advances against inventory by the unit. Audits and curtailments that live only in DMS extracts and spreadsheets mean the control environment is already broken—inspectors are reconciling parallel books. A lot audit is a chattel check: either the vault can show who controls which contract, or American dealer inventory lending stays unsafe and uncertain.

Tricolor Holdings, LLC filed chapter 11 on September 10, 2025, in the Northern District of Texas, No. 25-33487, before Judge Michelle Vonsenden Larson, with affiliates Tricolor Financial, LLC (25-33510) and Tricolor Tax, LLC (25-33515). That complaint PDF is the caution for any program that cannot show, in real time, which secured party controls which contract. Floorplan lenders should not wait for a courtroom to discover that gap. Inbox packages and dual pledges are how the book gets compromised.

Every VIN Maps to a Controlled Package

Post funding into VIN-tied vault packages. Let inspectors work against vault state. Append curtailments and payoffs as custody events. Wholesale-out should relocate the authoritative original under ANSI X9.110 on the real time transfer network (RTTN).

California Vehicle Code title notation still matters for many units. It does not replace § 9-105 control of the electronic floorplan or retail paper those units secure. Default UCC9 compliant lot state is what an inspector should pull without opening a dealer spreadsheet. You can prove who holds the original. The wholesale buyer does not inherit a reconstruction project.

  • Cite vault events in the lot audit, not orphan DMS exports
  • Hand wholesale buyers custody, not a reconstruction project
