Yellow Iron and Attachments Need Control That Travels Into the Syndicate
Syndication buyers restart diligence when yellow iron, attachments, and the Article 9 narrative live in email. Bind them to one original on collateral rails before the next bank arrives.
Your equipment package is yellow iron plus attachments plus the Article 9 narrative that has to travel with them. Titled machines, attachment schedules, financing statements, and counterparty acknowledgments have to stay coherent as control moves from captive to bank to warehouse buyer. That iron is chattel. If it has value, the owner should be able to collateralize it without losing the original or the chain of custody.
A § 9-330 contest still turns on possession or control facts. A § 9-310 filing may perfect some interests. That filing does not prove who holds the original. If your syndicate treats electronic chattel paper as transferable collateral, you still need the § 9-105 story: default UCC9 compliant custody. Without it, the next buyer restarts diligence and prices the gap. Shared-drive binders are how American equipment books lose the rights they think they hold.
Custody Has to Be Portable Across Facilities
Keep the equipment package as a controlled digital asset. Validate before capital moves. Push exceptions back to originators on the live record. Assignment into the facility should be ANSI X9.110 vault-to-vault transfer. The selling party keeps a watermarked copy. The buyer inherits the authoritative original on the real time transfer network (RTTN). You can prove who holds the original. The next buyer does not rebuild from email.
Kansas Statutes § 84-9-105 is the Midwestern enactment of the same safe harbor national syndicate counsel already cites from the uniform text. Your local counsel will map it. Your operations team still has to run it.

- Is there one authoritative package that spans titled units, attachments, and filings?
- Does assignment into the syndicate use TOLEC rather than a re-upload of PDFs?
- Can warehouse buyers export the same § 9-105 control history your operations team already trusts?
