SKU Lots on the Original: Apparel Recovers Through Warehouses, Not Repo Lots

Wardrobes, uniforms, and designer collections do not behave like titled assets. Fashion valuation swings; SKU lots belong on the authoritative package; recovery runs through warehouses and liquidators, not a repo lot.

Clothing collateral is movable, fashion-sensitive, and hard to recover at sticker price. Uniform inventories may have replacement contracts. Designer collections may have authentication issues. If a rack of coats has value, American lenders should be able to put it on collateral rails with a clear original—not a lookbook PDF forwarded from the showroom.

When financing is documented electronically, you still need § 9-105 control of any electronic chattel paper. ESIGN assent is a different legal event from that control.

Season and Trend Move Faster Than the Advance Rate

Season and trend reprice apparel faster than most other books. Advance against aspirational retail without documented appraisals and you discover recovery shortfalls. Logistics also differ from titled goods: there is no DMV to tell you who holds the lien on a rack of coats. A chattel check that starts with SKU lots on the authoritative package is the difference between a book you can sell and a pile of photos.

Low Unit Value Does Not Excuse an Uncontrolled Book

Even when unit values are low, portfolio transfers fail if buyers cannot identify the authoritative contracts. A default UCC9-compliant control environment with watermarked copies and audit lineage is how you sell or refinance the paper without reconstructing files from email. When factoring or warehouse funding hits, the real time transfer network (RTTN) keeps SKU schedules bound to the original as an intravault transfer of chattel.
