Name the Serial: Hardwired Appliances and Which Fridge You Funded
Refrigeration, HVAC components, and laundry equipment sit between portable goods and installed fixtures. Serial capture at funding and § 9-105 control keep servicing transfers from turning into fights over which unit you hold.
Appliance packages fail in the gap between the unit on the loading dock and the unit hardwired into a kitchen. Refrigeration, HVAC components, and laundry equipment are chattel of value. They should be controllable on collateral rails with a serial on the original and a chain of custody behind the note. Control of electronic chattel paper is how you know which contract is the original when that package later moves to a warehouse lender or ABS trustee.
Warranties, Landlord Letters, and Serials That Never Hit the Vault
Warranty transfers, service contracts, and landlord consent letters often live outside the financed package. When those side documents contradict the controlled record—or when only unmarked copies of the note exist—remarketing and foreclosure narratives stall. A chattel check that cannot name the serial on the authoritative package is already a recovery dispute.
- Serial capture at funding reduces “which fridge?” disputes at recovery
- Installed units may implicate fixture priority under § 9-334; portable units usually stay ordinary goods
- Service-contract value is not a substitute for perfection under § 9-308 or ECP control under § 9-105
They Signed. That Is Not Control.
ESIGN and UETA confirm that electronic assent can form a contract. Article 9 still asks whether a system establishes default UCC9-compliant control of electronic chattel paper under § 9-105. Equate “they signed in DocuSign” with “we control the ECP” and you are answering the wrong statute. When servicing transfers the book, the real time transfer network (RTTN) keeps serials and the original together as an intravault transfer of chattel.
Questions for Appliance Lenders
- Does every funded unit’s serial appear on the authoritative package?
- Are installed units treated as goods, fixtures, or both for filing purposes under § 9-334?
- Can you prove an unbroken custody chain for the electronic obligation?
